This Limited Liability Company Agreement (hereinafter referred to as the “Agreement”) is made on this 12 th day of June, 2017, to be effective as of the day of filing the Certificate of Formation with the Delaware Secretary of State, by and between Edward Ng and Herbert William Hoover (hereinafter referred to collectively as the “Members” and individually as a “Member”) and ATBCOIN LLC, a Delaware limited liability company (hereinafter referred to as “Company”).

Please be advised that the above captioned Limited Liability Company (“L.L.C.”) was formed and become effective in Delaware on June 12, 2017. Enclosed is a stamped filed copy of the Certificate of Formation as returned to us by the office of the Delaware Secretary of State.
